Item 1.02 Termination of a Material Definitive Agreement.

On June 18, 2010, Global Payments Inc. (the “Company”) was notified by the Canadian Imperial Bank of Commerce (“CIBC”) that CIBC would not renew the Visa sponsorship agreement with the Company, and as a result, the agreement will terminate at the end of its 10 year term in March 2011. In anticipation of such termination and consistent with the Company’s Canadian operating strategy, the Company has already filed an application with Canadian regulatory authorities for the formation of a loan company in Canada to enable the Company to directly process Visa transactions in Canada beginning in March 2011. The formation of the loan company would negate the need for a third party bank sponsorship relationship.
